A client of byteSpark.ai is seeking a Junior Legal Counsel to join its Legal team in Dubai, UAE, offering an excellent opportunity for a newly qualified lawyer or someone with up to two years of PQE to build broad, hands-on experience within a dynamic investment and finance environment. The role will provide exposure across commercial contracts, NDAs, UAE company formations, corporate restructurings, constitutional documents, powers of attorney, free-zone authorities, corporate governance, licence renewals, trademarks and dispute support, while working closely with internal stakeholders and external counsel. This is a strong opportunity for an ambitious lawyer who wants to move beyond narrow legal work, develop practical commercial judgement and gain meaningful exposure across a wide range of corporate and business matters in the UAE.
Requirements
1. Law degree and professional qualification as a lawyer, with newly qualified status to two years of post-qualification experience (PQE).
2. Relevant legal experience within a law firm, investment company, financial services business or comparable corporate environment.
3. Hands-on knowledge of UAE corporate law and company formation procedures, including incorporations, corporate restructuring and amendments to constitutional documents.
4. Experience drafting, reviewing and supporting negotiation of commercial contracts and NDAs.
5. Experience preparing or coordinating memoranda of association, powers of attorney, corporate resolutions and other corporate documentation, including notarisation where required.
6. Experience dealing with UAE free-zone or government authorities in relation to company registrations, amendments, licences or other corporate matters.
7. Ability to conduct legal and regulatory research, particularly on matters affecting corporate, investment and finance activities in the UAE.
8. Strong stakeholder-management and communication skills, with fluent written and spoken English and the ability to work effectively with internal teams, external counsel and authorities.
9. Strong attention to detail and ability to maintain accurate legal records, track company licences, governance requirements and transaction documentation.
10. Exposure to corporate governance, trademark registrations or dispute-resolution support would be advantageous.
Desirable
1. Hands-on experience liaising with UAE free-zone or government authorities such as JAFZ/JAFZA, NIP or DIP on company registrations, amendments, licensing or related corporate matters.
2. Experience coordinating UAE or GCC trademark applications and responding to registration or renewal requirements.
3. Experience preparing or coordinating powers of attorney, notarisation and execution of corporate documents.
4. Exposure to dispute-resolution support, including preparing matter summaries, managing documentation and coordinating with external counsel.
5. Experience maintaining corporate governance records, statutory documents and company registers.
6. Exposure to legal or regulatory matters within investment, financial services or asset-management environments.
7. Experience monitoring regulatory changes relevant to UAE corporate, investment or finance activities.
